英语买卖合同

Purchase and Sale Contract for Real Estate in Shanghai Municipality

Special Announcement

1. This Contract is made as model contract by Shanghai Housing and Land Administration Bureau and Shanghai Administration of Industry and Commerce pursuant to “Contract Law of People’s Republic of China” and “Measures on Transfer of Real Estate in Shanghai Municipality”, which maybe adopted upon consent of interested parties or used as reference context.

2. This Contract may be applied to the purchase and sale of real estate except commodity houses to be pre-sold or sold by developers or state-owned houses to be sold.

3. The interested parties to this Contract may fill in the blanks herein after negotiation and agreement, and the content bracketed by [ ] could be selected by crossing the content which the parties do not wish to select.

4. The parties shall made and enter into this Contract adhering to principle of willingness and fairness, and shall notice the following issues:

(1)Right of Joint-Owners

Registration of property right is divided into two kinds of single ownership and joint co-ownership, and co-ownership means that two or more owners enjoy the rights of ownership respecting the same property, in this regard, the co-owner or owners registered at the Title Certificate shall also execute this Contract.

The owner or owners registered at the Title Certificate shall obtain his/her spouse’s consent, and also shall be liable for any objection after sell.

(2)Deposit

Deposit is paid to secure performance of this Contract, and the parties may make agreement on such as amount and date of payment in Appendix 3 hereto.

(3) Handover of Property

It refers to the process of the Seller’s delivering the Property to the Buyer at the date and manner as agreed and the B uyer’s inspection and acceptance. The parties shall expressly stipulate the date of handover, inspection and acceptance and delivery manner as well.

(4) Property Quality

Clause of Property is mandatory in this Contract, and the property shall be kept in normal function. If the property is to be used after reasonable term of use, the owner shall entrust relevant qualified reconnaissance unit and devising unit for appraisal.

(5) Prior to execution of this Contract, the Buyer shall go to the Land and Housing Exchange Center to look up relevant record of registration (file) and make confirmation on possibility of title dispute and encumbrances so that to protect self interest.

(6) If the Property is let, the Seller shall notify relevant tenant three months prior to sell, and such tenant has a priority right to purchase the Property under equivalent condition. If such tenant abandons the priority right, the Buyer shall continue to perform lease contract and execute a contract with such tenant respecting change in interested party.

(7) If the Property is mortgaged, the Seller shall give a prior written notice to the mortgagee with consensus on such issue, in meantime, shall also disclose such issue to the Buyer.

(8) Land Use Right after Property Transaction

The use right of state-owned land where a living house is covered transfers with sell of the living house, and Article 3 (1) shall be applied in the event that the term of land use right is remarked on the Property Title Certificate.

(9) Transfer of Hukou Related to the Property

Performance of this Contract would also be affected on the condition that the old Hukou related to the Property could be moved out in a timely manner or not. The parties may insert provisions as such into Supplementary Clauses.

(10) Maintenance and Repair Fund

Pursuant to “Rules on Living House Management in Shanghai Municipality”, the

parties shall give a written notice respecting the property transfer to the landlord management committee and property management unit within ten days upon effectiveness of this Contract, and handle change the name of account of maintenance and repair fund. The parties may stipulate in the Supplementary Clauses with respect to balance in account of maintenance and repair fund.

5. If any appoint of qualified real estate broker to supply services as agent or mediacy arises, such broker shall sign and seal in Appendix 6, in which information of such broker shall be expressively shown in Article 1 for basis of complaint whenever any dispute arises between the parties and the broker company/or broker.

6. “Arbitration Law of People’s Republic of China” stipulates either arbitration or trial, and the parties shall not bring action with court once choose of arbitration. If the parties do not wish to bring action with court instead of arbitration, Article 13 in this Contract could be crossed.

Party A (the Seller):

Party B (the Purchaser):

Party A and Party B have made and entered into this Contract on the basis of equality, voluntary will and having reached unanimity through mutual negotiation.

Article 1

Party A and Party B, [without through broker company] [through _______________company as midacy] agree to transfer to Party B the Property and use right of the land where such Property is covered (“Property”), and information of the Property is given as follows:

(1) Party A has obtained the Property Title Certificate, the number of the Property Title

Certificate is ;

(2) the Property is located at _______________________________, type of the

Property is new lane house;

(3) the construction area of the Property is square meters, and [the usage area] [the

proportionate area] of the land lot is ____ square meters;

(4) the floor plan and covering limits are to be described in Appendix 1;

(5) the land use right occupied by the Property covers is fallen within [state owned land

use right] [collective owned land use right]; and the state owned land use right is acquired by means of [grant ] [allocation];

(6) furbishing and facilities (excluding ancillary equipment related the Property) to be

transferred with the Property is set forth in Appendix 2;

(7) the relevant affairs of the said Property (i.e., mortgages, leases, neighborhood, etc.)

are set forth in Appendix 5.

Party A promises to disclose condition of the Property title, furbishing and facilities and other affairs, and Party B fully understands the aforesaid matters and is willing to purchase the Property.

Article 2

Party A and Party B agree to sell and purchase the said Property at the price of

Party B’s payment method and term shall be set forth in payment clauses (Appendix 3) , and Party A shall deliver tax invoice to Party B after receiving Party B’s payment.

Article 3

The land use right shall be handled according to Clause___ upon transfer of the said Property by Party A.

(1)the land use right occupied by the said Property shall commence from ________ and

terminate on ________. After Party A transfers the Property to Party B, the rights and obligations as stated in Land Grant Contract shall be transferred to Party B. (2)formalities of grant of land use right are to be handled under law, regulations and

rules of People’s Republic of China, and land premium shall also be paid.

Article 4

Both parties agree that Party A shall empty the Property and notify Party B to handle inspection and delivery procedures of the said Property prior to _________. Within _____ days after receipt of such notification, Party B shall check and inspect the Property, furbishing and facilities. Article 5

Article 6

The date of transfer of the said Property title shall be subject to the receipt date when

Shanghai Luwan House and Land Exchange Center accepts application of such transfer, unless it refuses such application pursuant to relevant law.

Party A promises to positively assist Party B or Party A’s agent in handling transfer procedures. If Party A intentionally delays or refuses to supply necessary documents in a timely manner, Party B is entitled to claim against Party A’s liabilities as stipulated in Article 10 herein.

Article 7

Assumption of risk related to the said Property is transferred to Party B at the date of [transfer of the Property Title] [transfer of occupancy of the Property].

Article 8

Party A and Party B shall respectively pay fees and taxes pursuant to relevant law and regulations upon effectiveness of this Contract.

Unpaid fees and charges of management, water, electricity, natural gas and telecommunication and as such are to be paid according to Appendix 4 prior to transfer of [the said Property title] [occupancy of the Property]. Fees and charges incurred after transfer of [the said Property title] [occupancy of the Property].

Article 9

If Party B fails to pay the purchase price within the agreed time limit, Party B shall pay to Party A penalty interest on a rate of 0.000___ % for each day based on delayed amount from the date following the date on which the payment shall be made until the date on which the payment is actually made. If Party B delays to pay the purchase price for ____ days, Party A shall have the right to claim against Party B by way of stated in Clause ___ below in addition to payment of penalty interest for ___ days by Party B to Party:

(1)this Contract shall continue to be performed, and Party B shall also pay to Party A

the penalty interest on a rate of 0.000 ____% for each day based on delayed amount until the date on which the payment is actually made.

(2)Party A has right to unilaterally terminate this Contract provided that Party B is

liable for compensation at rate __% of the purchase price upon receipt of Party A’s such written notice, and Party A may deduct the sum equivalent to the penalty interest and compensation from amount paid by Party B and refund the remaining

amount to Party B. If the amount paid by Party B is insufficient for the penalty interest and compensation, Party B shall pay to Party A within ___ days upon receipt of such written notice.

Article 10

If Party A fails to hand over the said Property in accordance with this Contract (including handover of the Property and transfer of the Property title), Party A shall pay Party B the penalty interest on the purchase price already received. The penalty interest shall be calculated based on the rate of 0.000_ % from the day following the date on which the said Property should be delivered pursuant to Article 4 and Article 6 until the date of actual delivery. If the handover is delayed more than __ days, Party B shall have the right to make claims against Party B by way stated in Clause C below:

(1) Party A shall pay to Party B 0.000__% of all amount Party B has paid as penalty interest until the date on which the handover is actually completed and this Contract shall continue to be performed.

(2) Party B shall have the right to unilaterally terminate this Contract upon serving written notice on Party A. Party A shall, within days from receipt of the notice, refund Party B of all the purchase price paid by Party B, as well as a penalty which is

of the total purchase price.

Article 11

The parties may execute supplementary clauses upon mutual agreement pursuant to relevant law and regulations. The Supplemental Clauses executed by both Party A and Party B shall form an integral part of this Contract. Supplemental Clauses shall have the same legal effect as the context of this Contract.

一、问题的提出 甲和乙订立房屋买卖合同,甲以约定的价格将其房屋卖给乙。合同生效后,甲将房屋移交给乙居住使用,但并未办理房屋过户登记手续。某日下暴雨时雷电将房屋击毁,问此时房屋的毁损风险由谁承担? 《中华人民共和国合同法》(以下简称《合同法》)第142条规定:“标的物毁损、灭失的风险,在标的物交付之前由出卖人承担,交付之后由买受人承担,但法律另有规定或者当事人另有约定的除外。”有人据此认为,我国立法采取的是“交付主义”,甲将房屋移交给乙居住使用即为《合同法》第142条所说的“交付”,在房屋交付以后发生的毁损风险应由买受人乙承担。笔者认为如此下结论值得商榷,在这一问题上至少存在以下两个理论问题:第一,关于“交付”含义的理解;第二,《合同法》立法采取的是否“交付主义”。 二、《合同法》中“交付”的含义 (一)法律意义上的“交付” 民法理论向来都承认,“交付”可分为现实交付和拟制交付。现实交付是指出卖人将其标的物的事实管领权转移给买受人,使标的物处于买受人的实际控制之下,由买受人直接占有标的物。①现实交付一般是指具体的、可以转移实际占有的物品的交付。拟制交付,是指出卖人将标的物的权利转移给买受人,以替代对实物的交付。拟制交付又分为简易交付、指示交付和占有改定。其中,简易交付是指在买卖合同订立前买受人已经实际占有标的物时,则合同一经成立即视为交付完成,此前买受人虽然占有标的物,但不享有所有权,合同成立时转移的只是所有权;指示交付是指在标的物由第三人占有的情况下,出卖人将要求第三人返还标的物的请求权让与买受人,以此代替标的物的实际交付,这种返还请求权正是标的物所有权的体现;占有改定 是指买卖合同约定,买受人取得标的物的所有权,但标的物在约定的期间仍由出卖人占有,此种交付中虽不转移占有,仅转移所有权,但仍能完成交付。可见,在上述三种拟制交付方式中,转移的权利就是标的物的所有权,所谓拟制交付,就是仅转移标的物所有权的交付方式。既然在法律上拟制交付是用来替代现实交付的,那么在法律效果上应该是等同的。因此“交付”的法律含义就应该包括“转移所有权”的内容,不能将“交付”仅仅理解为“转移占有”。从某种意义上讲,“转移所有权”对于交付的意义会更大于“转移占有”,因为仅“转移所有权”而不“转移占有”可以完成交付,但如果仅“转移占有”而不“转移所有权”,出卖人的交付义务就没有履行完毕,买受人对标的物的占有始终只是他主占有,没有达到买卖合同的目的。有学者就认为:“买卖之交付别样于借用、租赁,就在于买卖之交付是所有权的交付。”②《合同法》第133条规定:“标的物的所有权自标的物交付时转移,但法律另有规定或者当事人另有约定的除外。”本条中的“交付”,不能仅从字面上理解为“转移占有”,还应该包括“转移所有权”的含义。 一般动产(指无需进行所有权登记的动产)所有权公示方式就是占有,如果没有特别的约定,交付、所有权转移和占有转移是三位一体的。但对于不动产和大多数特殊动产(指需要进行所有权登记的动产)而言,由于我国实行的是“登记要件主义”,要发生所有权转移的效力,必须办理所有权的变更登记手续,因此在交付的过程中,仅转移标的物的占有并不能完成交付。《合同法(试拟稿)》第168条第5项规定:“需要办理法定手续的,以办完规定手续的时间为交付的时间。”此后的《合同法(征求意见稿)》第94条第4项也做出了相同的规定,但在征求意见的过程中有人提出,由于我国《船舶登记条例》第5条采取的是“登记对抗主义”,此外,我国《民用航空法》对航空器采取的也是“登记对抗主义”,仅转移占有就足以转移所有权,完成交付,只是不能对抗第三人而已,为了保持法律体系的一致性,建议删除这一规定。该建议在最后表决通过的《合同法》中被采纳。③上述立法资料显示,《合同法》第133条中所谓的“法律另有规定”是指对船舶和民用航空器的规定,而有的学者认为是指所有需办理变更登记手续方能转移所有权的不动产和特殊动产,④这种理解值得商榷。 动产和不动产是对合同标的物的基本划分,由于其物理特性和法律特征的不同,在交易中分别适用不同的规则,但在没有区分的场合,就适用同一规则。《合同法》在动产和不动产适用不同交易规则时是做了明确区分的,如《合同法》第63条第3项的规定,但是,在《合同法》第133条中,法律并未区分动产和不动产,可见二者应该适用同一规则,即交付、所有权转移和占有转移是三位一体的,不动产的交付必须转移所有
