1.4开工条件：合同生效后，甲方预付款到位和现场具备开工条件。

1.5工程造价：合同工程总造价为￥元（CNY），人民币大写

在详细设计和施工过程中，若工程量发生变化，按合同单价相应调整工程造价；若材质发生变化，按双方商定的补充协议调整工程造价。

2.付款方式
Terms of payment
2.1由乙方向甲方提供指定帐户、甲方以支票方式或银行转账方式向乙方结算合同款；Party B shall provide the designated account to party A, Party A by check or bank transfer to pay the contract payment to Party B.

2.3数据中心及网络布线系统工程完工并且双方签订工程验收报告后7天以内，甲方付给乙方合同总价的55%，即￥元；

2.4工程竣工后3个月内，甲方支付给乙方剩余的合同款，即￥元；

3.双方职责
Responsibilities of the parties
3.1甲方职责：

a. 及时以书面形式通知乙方本工程具备开工条件的时间;

b. 协助乙方办理进驻施工现场所需人员证件、批件等有关手续；

d. 积极协助乙方施工，协调施工时与各部门的配合，并负责提供工程所需的现场平面图及建筑结构图。

e. 及时按合同规定之付款进度向乙方支付工程款项。

3.2乙方职责：
Responsibilities of party B:
a. 乙方在工程开始前应组织有关人员研究和熟悉图纸，参与设计交底，安排施工总进度计划并提交给甲方；

b. 向甲方或项目监理提供所购各种产品、设备的技术资料，接受进场检验；

c. 遵守甲方或监理方对施工现场的有关规定；

4.施工与工程设计变更
Construction and engineering design change
4.1乙方在施工中要根据国家颁发的施工验收规范和质量检验标准，以及设计要求进行，要求全部工程达到合格标准。

4.2在施工中，要坚持按照设计文件和施工图纸施工，任何一方不得随意变更设计，如出现窝工、返工和材料损失，以及增加劳动力成本等，由于甲方的原因造成的，损失由甲方承担，由于乙方的原因造成的，损失由乙方承担。

4.3在施工中，若甲方A有变更设计文件的要求，应书面通知乙方；若乙方发现设计文件有错误或严重不合理的地方，也应书面通知甲方，双方商定并修改设计文件和图纸后方可继续施工。

4.4在施工过程中，如遇下列情况，需顺延工期，双方应及时进行协商，并通过书面形式确定顺延期限：

a.因天灾或人力不能抗拒的原因被迫停工的；

b.因甲方提出变更计划或变更施工图而不能继续施工的；

5.竣工验收与售后服务

5.1乙方必须严格执行隐蔽工程验收制度，凡隐蔽工程完成后，必须经过验收并作好记录(隐蔽工程指墙内、吊顶内的管线施工等）。

5.2整体工程竣工后，乙方向甲方提交竣工文档并提交书面验收申请。甲方接到申请后7
日内组织有关人员按照合同内容和事先约定的验收条款进行项目验收，并出具双方签字的验收报告。如甲方不能按期组织验收，须提前通知乙方，并与乙方另行商定验收日期，但甲方必须承认乙方的竣工时间。甲方推迟验收，其间所发生的管理费和各项损失均由甲方负担。如果提交验收申请后一个月仍未能完成验收，则以竣工之日作为系统的保修开始日期。When the whole project is completed, Party B shall submit to party A complete documentation and submit a written acceptance application. 5.3工程验收合格后进入质保期。质保期为验收合格之日起12个月。在质保期内，乙方应对系统除人为因素外的所有故障负责免费维修或更换。

5.4在质保期内，乙方做到对甲方求援电话2小时内响应，8小时内抵达现场并着手解决问题。质保期结束后，乙方对系统进行有偿维护。有偿维护的费用由双方协商。

6.技术服务和培训
Technical service and training
6.1由乙方按技术培训大纲负责对甲方的有关操作人员和维修人员进行使用级培训。通过培训，使甲方的受训人员能掌握系统设备的配置，能进行正确操作和日常维护及一般常见故障排查。接受培训的人员由甲方确定，日期由甲乙双方共同商定。

6.3乙方为甲方免费提供网络综合布线系统和数据中心的技术咨询服务。

7.违约责任
The liability for breach of contract
7.1乙方提供货物的质量或规格不符合合同约定，行业规格或政府的法令法规的要求的，甲方可以根据货物的性质以及损失大小，要求乙方承担修理，更换，退货，减少价款等责任。Party B shall provide the quality or specifications of the goods does not conform to the contract specifications, industry or government regulatory requirements, Party A may according to the nature of the goods and the loss of size, B should bear the repair, replacement, return, reduce cost.
7.2乙方除因受《中华人民共和国合同法》规定的不可抗力因素影响外，如果未能按计划施工，则乙方在竣工之日前，每日应按甲方所支付合同款的1‰（大写：千分之一）赔偿甲方损失。

7.3在履行合同过程中，如果乙方提前获知有不能按时交货或提供服务的情况，应及时以书面形式将不能按时交货的理由、预期延误时间通知甲方。甲方收到乙方通知后，认为其理由正当的，可酌情延长交货时间。

Party A received notification, think its reason, could be appropriate to extend the time of delivery.
7.4若由于甲方更改设计需求、未确认材料或设备型号、未确认施工方案而导致设备订货周期推迟，因此导致的延迟交货，乙方不负担任何责任。
If due to Party A to change the design demand, did not confirm material or equipment models, unrecognised construction scheme caused by equipment order cycle time delay, thus causing the delay of delivery, Party B does not bear any responsibility.
7.5甲方在合同规定的付款期限内未能及时付款，视为甲方违约。甲方每日按合同款项的千分之一赔偿乙方损失。

7.6甲乙任意方因第三者的原因造成违约的，应向对方承担违约责任。

8.合同的变更
The modification of Contract
合同需在甲乙双方公平协商，达成一致的条件下进行变更，变更的内容需以文字正本形式经双方授权人签字并盖章后生效。一切变更内容作为附件存在与合同正本具有相同的法律效力。Any modification must on the basis of fair negotiation and be accepted by both sides. The formal file of modified contract should be validating after signed and stamped by authorized person of both sides.All change to the content as an attachment with the original contract have the same legal effect.
9.仲裁
Arbitration
双方对于任何合同内容上的争议首先依据《中华人民共和国合同法》进行协商解决，如不能解决，可由北京市合同仲裁委员会仲裁解决。
Any dispute of the contract should be negotiate and solved at first base on “P.R.C Contract Law ”, if it is can not solved by discuss of both sides, the final arbitration was made by “Contract Intermediation committee of Beijing”.
10.合同使用的文字极其效力
Effectiveness of the Character
合同以中英文两种文字书写，具有相同的法律效力，任何内容上的由于语言造成的矛盾，以中文为有效文字。
The contract was written in English and Chinese, they have the same effectiveness in law, Chinese is the final valid character when any difference of understanding produced.
11.合同未尽事宜的说明
The explain items not included in contract
合同未尽事宜，由甲乙双方依据《中华人民共和国合同法》协商解决。
The items that are not included in the contract should be negotiated by both side on the base of “P.R.C Contract Law ”.
12.其它
Others
本合同一式四份，甲乙双方各执二份。双方授权人签字盖章起合同生效。

一、概况

二、关于工程付款及结算的约定
TERMS OF PAYMENT

三、关于材料供应的约定
AGREEMENT ON THE SUPPLY OF MATERIALS
1. 乙方提供的材料：乙方供应的材料、设备,如不符合设计、施工要求，应禁止使用。如已使用，
对工程造成的损失由乙方负责。如甲方要另增加材料由甲方供应，并应符合下列规定：
Material provided by Party B: Any materials or equipment supplied by Party B which do not
meet the design and construction requirements are prohibited. Any extra materials
requested by Party A which were not in the original design must be paid for by Party A.
2. 甲方提供的材料：另拟补充附件<甲方提供材料、设备表>
甲方负责采购供应的材料、设备，应符合设计施工要求的合格产品，并应按时供应到现场。
乙方发现甲方提供的材料、设备有质量问题或规格差异，应及时向甲方提出，甲方仍要求使
用的，由此造成工程损失，责任由甲方承担。甲方供应的材料按时抵达现场后，由乙方负责
保管
Material provided b y Party A: (see the annex: “Table of Materials to be provided by the
Owner”). If Party A acquires materials for the project, it should first check with Party B that
the materials match to the design requirements, and once the materials are in the care of
Party B, then Party B is responsible for the materials. If Party A requires some materials
which do not fit to the design then it shall be the responsibility of Party A to pay any additional
costs incurred by Party B.
四、关于工程质量及验收的约定
FULFILMENT OF THIS AGREEMENT
1. 本工程应符合<建筑装饰工程技术规程>和市建设行政主管部门制定的其它地方标准\质量评
定验收标准
The execution of this project must be consistent with the “Architectural and Engineering
Rules” of the city administrative departments responsible for the development of buildings and local standards and quality evaluation acceptance criteria.
2. 本工程由乙方进行设计，提供施工图纸一式两份，双方签字确认
Party B must provide a duplicate copy of the construction designs and drawings, and both copies should be signed by both parties.
3. 甲方提供的材料、设备质量不合格而影响工程质量，其返工费用由甲方承担，工期相应顺延

4. 由于乙方原因造成质量事故，其返工费用由乙方承担
If the quality of Party B's work results in any accidents, the liability for such accidents shall be the responsibility of Party B.
5. 在施工过程中，甲方提出设计修改意见及增减工程项目，须提前与乙方联系，在双方签订<工
程项目变更单>后，方能进行该项目的施工、因此影响工程竣工日期的，责任由甲方承担。凡甲方私自与施工人员商定更改施工内容、增加施工项目所引起的一切后果，甲方自负，给乙方造成损失的，甲方应予赔偿
If, during the construction, Party A wishes to propose a change to the design, he should sign
a “Change of Project” with Party B and must assume responsibility for resulting delays or
increase in costs. If Party A secretly attempts to change to design directly with the construction personnel and this action causes loss to Party B, then Party A must compensate Party B for this loss.
6. 工程验收：乙方负责理隐蔽工程和中间工程的检查与验收手续。由乙方组织专门人员进行验
收。一切理隐蔽工程和中间工程的质量由乙方负责

7. 工程竣工：乙方完工后即应通知甲方验收，甲方应在竣工当日组织验收，并办理验收移交手
续，双方签<工程质量验收单>。如果甲方在规定时间内不能组织验收，须及时通知乙方，另
定验收日期。如通过竣工验收，甲方应承认原竣工日期，并承担因此造成的乙方的看管费
用和其他相关费用

If Party A is not available to inspect the construction site on the completion date, he must notify Party B of the soonest available date. Where Party A is not available on the completion date to retake custody of the location, he must pay any extra costs incurred by Party B.
8. 工程保修期一年。工程竣工验收后甲、乙双方签署<工程保修单>，凭保修单实行保修，保修
期一年，从竣工验收签章之日起算

五、有关安全生产和防火的约定
SAFE PRODUCTION AND FIRE REGULATIONS
1. 施工图纸和施工说明应符合防火防事故的要求，主要包括电气线路等管道畅通、合格。乙方
在施工中应采取必要的安全防护和消防措施，保障作业人员及相邻关系的安全,防止相邻单位的管道堵塞、渗漏水、停电、物品毁坏等事故发生

2. 施工中凡涉及改变房屋结构，拆、改承重墙，加大楼（地）面荷载，由甲方向物业管理部门
提出申请，经所在地建设行政主管部门批准后方能施工

increase in floor load must first be approved by the building property management before
construction begins.
3. 双方款项往来均应出具正规收据和发票，以备查验和结算

六、其它事项
OTHER MATTERS
1.甲方工作
Party A
1. 甲方应在开工前确认施工图纸并腾出足够的施工空间，以清除影响施工的障碍物。甲方向
乙方提供施工需用的水、电等必备条件，并说明使用注意事项
When Party A confirms the pre-construction and construction drawings, he must also
make sure there is sufficient space available at the construction site for construction to

completion of the construction, particularly electricity and water.
2. 做好施工中因临时使用公用部位操作影响邻里关系等的协调工作

2. 乙方按要求组织施工，保质、保量、按期完成施工任务

七、违约责任
LIABILITY FOR BREACH OF CONTRACT
1. 由于甲方原因导致延期开工或中途停工，工期顺延
If Party A causes any delays to the completion of this project, then the scheduled completion
date should be adjusted accordingly.
2. 由于乙方原因逾期竣工的，每逾期一天，乙方向甲方支付工程造价0.1‰(大写:千分之一)的违约金
If Party B causes any delay to the completion of this project, then Party B must pay to Party A
a fee of 0.1‰
(in words: 1/1000)of the total overall project fee for each day beyond the scheduled
completion date.
3. 甲方未办理有关手续，强行要求乙方拆改原有建筑承重结构及共用设备管线，由此发生的损失
或事故（包括罚款）由甲方负责并承担责任
If Party A instructs Party B to make any alterations to a load bearing wall and Party A has not
sought and received permission from the building property management, Party A shall be
responsible for any resulting costs and shall indemnify Party B for any additional expenses
incurred.
4. 乙方擅自拆改原有建筑承重结构或共用设备管线，由此发生的损失或事故（包括罚款），由乙方负责并承担责任
If Party B makes any unauthorized changes to load bearing walls or building pipelines and
such changes result in damages or loss, it shall be the responsibility of Party B to pay for such
loss.
5. 工程未办理验收、结算手续，甲方提前使用或擅自动用工程成品由此造成无法验收和损失的,由
甲方负责并承担责任
Party A shall be responsible for any extra costs incurred due to his use of the property before
the final completion meeting and signing of the “Engineering Quality Acceptance” document.
八、纠纷处理方式
DISPUTES
1. 因工程质量双方发生争议时，凭本合同文本向有关行业协会申请调解，也可向所在区、县建设
行政主管部门或消费者协会投诉
If there is a dispute between the parties, this contract should be submitted to the relevant
trade association for mediation and also to the host district and county building departments
in charge of administrative complaints, or to consumer associations.
2. 当事人不愿通过协商、调解解决、或协商、调解不成时，可以按照本合同约定向--上海仲裁委员
会申请仲裁--人民法院提起诉讼
if, after negotiation, mediation and/or consultation, the parties have failed to reach an agreement, then the dispute
should be:submitted to the--Shanghai Arbitration Commission--filed as a lawsuit.
九、合同变更和解除
AMENDMENT AND TERMINATION
1.合同经双方签字生效后，双方必须严格遵守。任何一方要求变更合同内容或解除合约，由双方协
商解决，经双方签字确认后生效
After this contract is signed it must be strictly adhered to. After the contract is signed, neither
party can leave the contract without agreement of the other party.
2.本合同签订后，工程不得转包
After this contract is signed, the project shall not be sub-contracted.

并协助签证。 四、工程质量 甲乙双方约定的市政工程质量为按现行有关质量验收标准验收，必须确保一次性合格，且必须具备优质工程质量验评要求和甲方企业标准要求，如由于其施工质量问题，导致工程质量验收不合格或影响工程质量评优创杯，除乙方无条件返工处理合格和满足优质工程质量验评要求外，甲方根据有关管理制度可视情对乙方作出质量处罚，乙方应无条件接受甲方的质量处罚。 五、甲乙双方责任 1、甲方责任 （1）全面履行合同，确保乙方正常施工。 （2）提供乙方要求的有关本工程的技术资料。 （3）及时协助乙方做好有关工程量签证工作。 （4）负责办好施工手续，需乙方协助的工作乙方无条件配合。 （5）督促乙方做好安全管理，文明施工。 （6）向乙方提供堆场、道路、设备作业等场地。 （7）甲方应为乙方提供临时设施和临时用水、临时用电，乙方员工住宿由甲方负责，施工用电线电缆、开关箱、照明灯具和甲方提供的机具、水费、电费等由甲方负责承担。 （8）负责向乙方做好安全教育，签订劳务合同和安全责任书，做好施工技术交底和放样测量工作。 （9）协调乙方内外施工环境，为乙方施工做好后勤服务。 2、乙方责任 （1）全面履行施工合同，严格按现行标准、规程、规范和设计要求组织施工，严格履行质量、安全、文明施工，工期的合同要求，确保正常施工。 （2）服从甲方、监理、建设单位的指挥和管理。 （3）服从甲方现场有关部门和职能人员的监督管理。 （4）负责其施工机具、设备和人员调配，乙方保证其进场的机具设备能满足施工和甲方管理的需要，人员调配投入计划必须征得甲方同意，现场管理力量必须
