甲、乙双方在自愿、平等、互利的基础上,经协商一致,就乙方承租甲方物业事宜,订立本合同。

Having reached unanimity through consultations, Party A and Party B, on the basis of voluntariness, equality and mutual benefit, have entered into this Contract in respect of Party A leasing the Premises to Party B.

一、租赁物业

Leased Premises

1.1 甲方将坐落于(以下简称‘该物业’)

出租给乙方使用,该物业建筑面积为平方米。

2.2 租赁期满,甲方有权收回该物业,乙方应如期归还;乙方如要求续租,须在

本合同期满前1 个月向甲方提出书面申请,经甲方同意后重新签订租赁合同。

On expiry of this lease, Party A has the right to take back the Premises, and Party B shall return the Premises on time. If Party B wishes to extend the lease, Party B is required to give written notice to Party A one months prior to the expiry of the lease and subject to Party A and Party B’s consent, a new leasing contract shall be signed.

三、租金及保证金

Rental and Deposit

3.1 租金为每月元人民币,租金含物业管理费,发票。

fee, formal invoice。

3.2 乙方应予签署本合同后五日内向甲方支付相当于一个月租金的金额,即人民币

_______元,作为保证金,甲方应出具收据给乙方。在租赁期满,乙方如期交

还该物业,并付清居住期间所有租金和其它费用后十五天内,甲方应将保证金

无息退还乙方。

Within five days after the signing of this Contract, Party B shall pay to Party A as Deposit, which is equivalent to one months’ rental, and Party A shall issue a receipt for the said value. At the expiration of the Contract, Party A shall refund the Deposit to Party

B without interest within 15 days after Party B has returned the

Premises and paid all the rent and other expenses for the terms that Party B has occupied the Premises.

3.3 乙方应在每月日前支付该月租金,若乙方在租金到期后十五天仍未支付,

每逾期一天,则乙方应按日租金的支付滞纳金。若超过三十天未付,则视

乙方自动退租并构成违约,甲方有权收回该物业,没收保证金并追究相关损失。

Party B shall pay the rental on or before the day of each calendar month. If the Rent has not been paid within 15 days of its due date, Party B shall be required to pay a late penalty fee equal to ______of the rental per day for each day of delay. If the rental has not been paid more than 30 days after the due date,

Party b will be deemed to have automatically terminated the leasing resulting in a breach of the Contract, Party A will be entitled to take back the Premises, retain deposit and seek related losses.

3.4甲方在收到租金后五天内应提供给乙方正式发票,若甲方在月底前仍未提供乙方

发票,则乙方有权延迟支付下月租金直至收到正式发票。甲方有责任根据税务局

和/或房管局的规定、要求和有关程序支付相应的有关租赁房屋的税款。

Party A will issue an official invoice within 5 days after receiving the rental. If Party A has not issue an official invoice by the end of the

month, Party B has the right to delay the payment of the following

month’s rental until the invoice of the said month is received. Party

A is responsible for complying with regulations, requirements and

procedures originating from the Tax Bureau and/or Housing Bureau related to the taxes of the rent of the Premises.

四、出租人的责任

Landlord’s Responsibilities

4.1 甲方须按时将出租物业及家具电器(见附件一)以良好的状态交付给乙方使用。

Party A should deliver on schedule the leased property and the

furniture and appliances (refer to Appendix I) in good condition to

Party B.

4.2甲方应确保或责成物业管理公司对物业及其公共设施进行定期维修保养,包括

4.3但不限于物业内的空调、上下水管、电线电缆、煤气管道、通讯及有线电视等设

施,使之处于正常的使用状态。

Party A should guarantee or order the property management

company to carry out maintenance and repair of the said premises

and the facilities in good and proper operation regularly, including

but not restricted to air-conditions, water pipelines, wires and cables, gas pipelines, communication and cable TV etc.

4.3 房屋基本设施和结构损坏时(不包括乙方损坏的家具和器具),甲方必须在24

小时内提供维修服务或给予乙方答复,并承担相关的费用。

In case of the basic facilities and structure of the premises being

damaged (not including furniture and appliances damaged by Party

B), Party A shall repair or respond to Party B’s complaints within 24

hours, and bear all costs related thereto.

4.4 甲方在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋给

乙方。就本合同及出租此房屋于乙方之事,甲方已取得所有有关机构的批准,包括政府批准及抵押权人的同意。甲方于本合同所做出的声明与保证,如有错误或违反者,甲方须就因此而对乙方引起的任何损失、损害、支出及费用对乙方做出全额补偿。

Party A hereby represents and warrants that Party A is the legal owner of the leased property and has the necessary capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in respect of this Contract and the leasing of the property to Party B, including government approval and/or mortgage consent. Party A shall be liable to keep Party B fully indemnified against any costs, expenses, losses and damages incurred and suffered by Party B as a result of any breach of Party A’s representations or warranties herein.

4.5如在租赁期内,租赁房屋发生所有权全部或部分转移,和其它影响乙方权益的事

情时,甲方应保证所有权人或其它影响乙方权益的第三人,能继续遵守本合同所有条款。如乙方于本合同下的权益受此等所有权人或第三者影响或损害,甲方应负责赔偿乙方的所有损失、损害、支出及费用。

If during the term of the tenancy, all or part of the leased property is transferred or Party B’s right t o use leased property is affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leased property will continue to abide by the terms of this Contract. Party A shall also be liable to keep Party B fully indemnified against any costs, expenses, losses and damages when any of Party B’s interests herein are affected or prejudiced by such transferee or third party.

4.6 甲方应负责根据中国法律法规所定因本楼宇租赁而产生的一切税务(包括但不限

于房产税,所得税和营业税)和法定费用(包括但不限于土地使用费),并必须将该些税务和法定费用直接向有关税局缴付。

The Landlord shall be responsible for and pay directly to the relevant tax authorities all applicable taxes (including but not limited to Real Estate T ax, Income T ax and Business T ax) and other government charges (including but not limited to Land Use Fee) required by Chinese law or any relevant regulations arising from the leasing of the Premises.

4.7 在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝甲方或

其他人骚扰而安静享用出租房屋。

Provided that Party B paying the rental and performing and observing

party B’s terms and conditions herein contain shall peaceably hold and enjoy the Premises throughout the term of this Contract without any interruption by Party A or other persons.

4.8 租期为一年,如若任何一方提前解约,支付违约金为一年的租金(人民币______

元)。

Tenant’s Responsibilities

5.1 乙方应按时支付合同中规定的保证金、租金及水、电、煤气、电话费,宽带费等

公用事业费。

band,electricity, gas, telephone charge etc.

5.2未经甲方书面同意,乙方不得将该物业转租或分租给第三方。

Party B shall not transfer or sub-lease the said premises to any third

party without Party A’s written consent.

5.3乙方应爱护使用租赁的房屋,如因乙方的过失或过错致使房屋及设施受到损坏

(正常损耗除外),乙方应负赔偿责任。

Party B shall treat the leased property with care. If, as a result of

Party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear excepted), Party B shall be responsible for compensating Party A for such damages.

5.4除在物业内已有的装饰和设施外,乙方如要增加设备或装修,须征得甲方的同意,

甲方不得无理拒绝或延误;租赁期满必须恢复原状(正常损耗、磨损除外),并承担其费用,经甲方验收认可后归还甲方。甲方同意期满前两个月通知乙方其所需

拆除的在物业内的任何改变及改进的设施。

In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or improvements to the property, Party B must get Party A’s consent. Any such consent shall not be unreasonably withheld or delayed. On expiry of the tenancy, Party B must hand over the property to Party A in its original condition (fair wear and tear excepted). All fees arising from such work to do so are to be borne by Party B. Party A agrees to provide Party B with two months’ notice prior to the expiry of the contract, in the event Party A requires demolition of any alteration or improvement carried out to the property by Party B.

5.5 若乙方、乙方雇员或任何其他经乙方许可的人员进入该物业,对甲方或其他住户

造成损失,不论故意或过失,乙方皆应对造成的所有损失予以赔偿。

In case of Party B, employees of Party B or any other person

permitted by Party B to enter the property causing damages to Party

A or other tenants, whether intentionally or negligently, Party

B shall

compensate for all the losses caused by such damages.

5.6 乙方不得携带任何违禁危险物品进入该物业,严禁从事任何违反中华人民共和国

法律法规的活动;如因此发生损害,乙方应承担全部责任。

Party B shall not bring anything dangerous or forbidden in the leased

property, and not behave against the laws or regulations of the

People’s Republic of China, and shall be fully responsible for any

damages or losses as a result thereof.

5.7 在本合同期满前一个月内,乙方应允许甲方或其指定的代理人经与乙方预约后,

在合理的时间内陪同其他有兴趣租住该楼宇的人士参观

The Tenant shall permit the Landlord or its designated agent to

enter the Premises with other potential tenants to see the Premises,

at reasonable time and upon prior appointment with the Tenant

within one month before the expiration of this Contract.

5.8 租期为一年,如若任何一方提前解约,支付违约金为一年的租金(即人民币

_______元)。

Breach of Contract

6.1 甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任,

双方同意违约方应赔偿受害方之直接损失(间接和结果性损失除外)。甲方若有违

约并在七日内未予补救,乙方则有权延付租金和管理费或做相应的扣除。

If either Party A or Party B fails to perform its obligations hereunder,

it shall constitute a breach of this Contract and the defaulting party

shall undertake the liabilities for such breach. The parties agree that

the party in breach shall pay the other party the direct losses and

damage (excluding indirect and consequential loss and damages). If

Party A is in breach of this Contract and does not rectify within 7 days,

then Party B is entitled to withhold or deduct the rental as well as

management fee.

6.2 甲方有下列行为之一的,乙方有权中止本合同,甲方除应退还乙方保证金和已支

付但未居住的租金外,还应支付乙方两个月的租金的金额作为赔偿。

Party B shall have the right to terminate the Contract and have recourse to a refund of the two m onth’s security deposit and rental already paid together with a compensation sum equivalent to two months rental if party A commits one of the following:

(a) 未经乙方同意,在租赁期间收回该物业。

During the lease term, take possession of the Premises without Party’s B conse nt.

(b)本合同开始三十天后,仍未向乙方移交该物业。

Fail to hand over the Premises to Party B within thirty days after

the commencing date of the Contract.

6.3 乙方有下列行为之一的,甲方有权中止本合同,收回该房屋并且保证金不予退

还。

Party A shall have the right to terminate this Contract, re-possess the leased property and forfeit the security deposit if Party B commits one of the followings.

(a) 将承租的房屋擅自转租,但转租给乙方本公司人员除外。

Sublets the leased property to another person without Party A’s

consent, but associated person of Party B excepted.

(b) 未得甲方同意,将承租的房屋擅自拆改结构或改变用途的。

Alters the structure of the premises without authorization or uses

the premises other than the purpose stated herein.

(c) 无故拖欠租金超过三十天。

Fail to pay rental without any reason for more than 30 days after

the due date.

七、不可抗力

Force Majeure

若由于不可抗拒的自然灾害(包括但不限于火灾、洪水、地震、施工、战争、暴动、敌队等行为等)或其它非双方过错所造成的对本物业的损毁致使其无法居住或使用本物业,双方有权中止本合同,甲方必须退还乙方所有保证金和已支付但未居住的租金。

届时合同双方将不再承担进一步的任何责任。

If the leased property is destroyed, damaged and rendered uninhabitable and unusable due to force majeure (including but not limited to fires, flood, earthquake, accidents, strikes, wars, insurrections, public enemy etc.) or actions that are not the result of Party A or Party B’s fault, either party has the right to terminate the Contract and prorated balance of al rental prepaid, as well as the deposit, shall be returned to Party B.

Thereafter, the both parties shall not have any responsibilities to each

other.

八、争议的解决

Dispute Resolution

凡因本合同条款、翻译、任何合同相关事宜所引起的一切争议,双方应友好协商解决;

协商不成,应提交上海市仲裁委员会,按其仲裁原则和中华人民共和国仲裁法在上海进行仲裁,仲裁裁决是终局的,对双方都有约束力。

Any dispute or difference that arise between Party A and Party B relating to any clause, interpretation, matter or things whatsoever herein connected with this agreement shall be settled amicably between both parties hereof. If such negotiation fails, the parties shall submit the

dispute to arbitration by Shanghai Arbitration Commission in Shanghai according to its arbitration rules. The decision of the arbitrage body is final and shall binding on the parties hereto.

九、其它

Others

9.1 本合同附件是本合同不可分割的一部分,与本合同具有同等效力。

T he Appendix of the Contract is indispensable part of the Contract and shall have the same effect.

9.2本合同由中英文写成,中英文本具有同等效力;如果中英文本发生差异,以中文

为准。

The Contract is written in Chinese and English, both Chinese and English versions have the same validity, but in case of the

discrepancy of the translation, the Chinese version shall prevail.

9.3 准备和签订本合同的法律费用由双方各自承担。合同登记费用和印花费由双方平

均负担。

Each party shall bear their own legal fees for the preparation and

completion of this Contract. The registration fee of this Contract

and the stamp duty shall be borne by the parties in equal share.

The total rental fee shall be settled before the leaving of the equipment, if the lessee delays and fails to pay the rental, he has to pay penalty to the leaser at the rate of 5% of due rental for each day of delay. 2. During the lease term, the lessee is not allowed to transfer or sublet the leased equipment to Party C, and he is prohibited to sell off, mortgage and close down the leased equipment, the leaser has the right to terminate the contract, take back all leased equipment if any, and the lessee will be responsible for corresponding legal liabilities and economic loss caused by himself. X. The articles of the contract come into effect after the signing by both parties. The contract in 3 pages is made in three copies with two copies for the lessee and one copy for the leaser.
