1. Company Background

Arnold Magnetics (ShenZhen) Ltd. (AMLSZ) was established in November 2001. The company is one of the largest magnetic products manufacturers in the world supplying magnets, magnetic material and assemblies into Automotive, Consumer and Industrial products, Medical applications, Military& Aerospace, Reprographic systems, Security systems& Telecommunications. The manufacturing plant adopts lean production method and a 6-Sigma quality control system, the company obtained the ISO9001:2000 certification on Mar of 2003 , the ISO/TS 16949:2002 certification on Oct of 2006 and ISO14001:2004 certificate in Jan of 2008.

Our Research & Development center is established in USA and Sales & Marketing is set in Hong Kong. Company Location

2. Scope of the Environmental Management System

2.1 Scope

2.1.1 This environmental manual provides a general framework for the environmental management system

corresponding to all activities, products and services of Manufacture of soft magnetic powder cores,

samarium cobalt permanent magnets and precision mechanical and electrical assemblies for the

reprographics industry of Arnold Magnetics (Shenzhen) Limited so as to improve environmental

management, protect environment, prevent pollution and achieve continual improvement.

2.1.2 The environmental management system applies to:

The factory of Xintang Industrial Zone includes block D5, D6 and A9.

The factory of Fenghuang the 3rd Industrial Zone includes block F, dormitory and canteen.

The factory of Gongming includes block C, D and E.

2.2 Environmental Policy and Environmental Objectives

2.2.1 The following Environmental Policy is reviewed and endorsed by the top management of AML.

Environmental Performance

?Arnold Magnetics (Shenzhen) Ltd will establish goals and targets for environmental performance, and will implement measures intended to achieve these goals and targets.

?Arnold Magnetics (Shenzhen) Ltd will periodically conduct a comprehensive assessment of the nature and scale of environmental concerns related to its business.

?Arnold Magnetics (Shenzhen) Ltd believes that effective environmental management is closely linked with efficient business practices, and will continue to place a high priority on improved environmental

management practices that are also efficient business practices.

Regulatory Compliance

?Arnold Magnetics (Shenzhen) Ltd will make all efforts to be aware of, and to comply with, relevant world wide environmental legislation.

Employee Awareness

?Arnold Magnetics (Shenzhen) Ltd will identify the knowledge and skills required of its employees, and will train and equip them to carry out their duties in a manner consistent with its environmental management policies.

Pollution Prevention

?Arnold Magnetics (Shenzhen) Ltd will develop pollution prevention and waste minimization programs to address environmental issues, including, but not limited to air and water quality and waste management.

2.2.2 Top management shall set up and periodically review company?s strategic environmental objectives to

ensure the continual improvement and to ensure customer satisfaction.

2.2.3 Top management shall communicate the environmental policy and environmental objectives within the

company in every January and summarize the achievements per month or per quarter (for some items).

3. Introduction to the Envrionmental Manual

3.1 Introduction

The environmental manual of the company (“this manual”) describes the general frame of Environmental

Management System established according to ISO14000:2004 standard in Arnold (Shenzhen), including

environmental policy, the organization structure, responsibilities and authorities of every department, the

interrelationship among functional departments.

3.2 Control of the Manual

3.2.1 General

3.2.1.1 This manual is controlled per the Document and Data Control Procedure.

3.2.1.2 This manual is issued either as controlled copy or as uncontrolled copy which is identified on the

cover sheet of this manual.

3.2.1.3 The controlled copies of this manual are issued to those departments which are listed in the

distribution list.

3.2.1.4 The holders of controlled copies are responsible for providing their subordinates reading and

understanding this manual and assuring their subordinates implementing the policy stipulated in

this manual.

3.2.1.5 If this manual is revised, the holders of this manual shall be notified and shall be distributed with a

copy of new revision immediately.

3.2.1.6 Uncontrolled copies may be distributed to any customers, suppliers or others on request of

Management Representative (MR). Uncontrolled copies of this manual are not updated when this

manual is revised.

3.2.2 Approval

3.2.2.1 This manual is reviewed and approved by the followings:

- Management Representative;

- Vice General Manager/Business Unit General Managers;

- General Manager.

3.2.3 Issue and Distribution

3.2.3.1 The document controller prepares and keeps a distribution record. She/he is also responsible for

the distribution and control of this manual and its revised copies.

3.2.3.2 Distribution List (not limited to)

- General Manager;

- Management Representative;

- Vice General Manager(s) and Business Unit General Manager(s);

3.2.4 Control of Changes

3.2.

4.1 Any changes to this manual shall be approved by the authorized person.

4.2 Management Representative shall review all changes before the approval.

4.3 Revised copy is distributed to all existing holders of controlled copy.

4. Environmental Management System Requirements

4.1 General Requirements

AML has established Environmental Management System (EMS) in compliance with ISO14001:2004

standard, which applies “PDCA” management mode l, that is, the EMS are continually improved as per “Plan, Do, Check and Act”.

1) Establish an environmental policy

2) Identify environmental aspects of AML?s activities, products o r services thoroughly, evaluate

environmental aspects and confirm significant environmental aspects;

3) Identify and have access to legal and other requirements which are applicable to AML;

4) Establish environmental objectives and targets;

5) Define the organization structure; provide EMS training, communicate with internal levels and functions

and external interested parties; prepare EMS documents and provide resources to achieve

environmental policy;

6) Conduct monitoring and measurement, take corrective and preventive actions, carry out EMS audit to

ensure the adequacy and effectiveness of the EMS;

7) Carry out management review once a year to review the EMS. Update environmental policy,

objectives and targets and the elements of EMS in light of the changing circumstances to achieve

continual improvement.

4.2 Environmental Policy

4.2.1 Top management shall define, review and approve Environmental Policy.

4.2.2 The content of the Environmental Policy

a) is appropriate to the nature, scale and environmental impacts of its activities, products and services,

b) includes a commitment to continual improvement and prevention of pollution,

c) includes a commitment to comply with applicable legal requirements and with other requirements to

which the organization subscribles which relate to its environmental aspects,

d) provides the framework for setting and reviewing environmental objectives and targets,

e) is documented, implemented and maintained,

f) is communicated to all persons working for or on behalf of the organization, and

g) is available to the public.

4.3 Planning

4.3.1 Environmental Aspects

4.3.1.1 AML has established and maintained Environmental Aspects Identification and Evaluation

procedure to identify the Environmental Aspects of its activities, products and services that is

can control and over which it can be expected to have an influence, in order to determine those

which have or can have significant impacts on the environment.

4.3.1.2 The environmental aspects identified are evaluated to determine those aspects that have

significant impacts on the environment. Significant aspects, in turn, are considered in establishing,

implementing and maintaining this management system. The process is performed periodically or

if necessary to ensure that it is kept up to date.

4.3.1.3 The following aspects, as a minimum, are considered.

a) Air emission

b) Waste water discharge

c) Waste stream

d) Noise

e) Material (chemicals) use

f) Energy use

g) Water use

4.3.1.4 Environmental impacts on the following are considered as a minimum:

a) Air

b) Water

c) Land

d) Flora, fauna

e) Noise environment

f) Human beings

g) Nature resources

4.3.1.5 Reference:

4.3.2 Legal and Other Requirements

4.3.2.1 AML has established, implemented and maintained Legal and Other Requirements Procedure

to

a) Identify and have access to the applicable legal and other requirements to which AML

subscribes related to its environmental aspects.

b) Determine how these requirements apply to AML environmental aspects.

4.3.2.2 Reference:

4.3.3 Objectives, Targets and Programme(s)

4.3.3.1 AML has established and maintained Environmental Objectives and Targets Control

Procedure to ensure that documented environmental objectives and targets are established at

relevant department and functional levels if necessary.

4.3.3.2 The top management shall set and review the objectives and targets and ensure that they are

consistent with the EMS policy, including the commitment to prevention of pollution.

4.3.3.3 When establishing and reviewing the objectives, AML shall consider

a) Environmental policy

b) Legal and other requirements

c) Significant environmental aspects

d) Technological options, financial, operational and business requirements

e) The views of interested parties

f) Commitment to continual improvement and prevention of pollution

4.3.3.4 AML has established and maintained environmental management programs for achieving its

objectives and targets. The program(s) include:

a) designation of responsibility for achieving objectives and targets at each relevant function

and level of the organization

b) the means and time-frame by which they are to be achieved

c) essential resources, such as human resources, financial resources and infrastructure etc.

d) responsibility of inspection and monitoring

4.3.3.5 AML has established and maintained Environmental Management Control Programme(s)

Procedure to ensure that documented environmental objectives and targets are established at

relevant department and functional levels if necessary.

4.3.3.6 The programs are reviewed periodically to ensure that information is kept up to date.

4.3.3.7 If a project relates to new developments, program(s) shall be amended where relevant to ensure

that environmental management applies to such projects.

4.4 Implementation and Operation

4.4.1 Resources, Roles, Responsibility and Authority

4.4.1.1 The top management shall ensure the availability of resources essential to establish, implement,

maintain and improve the EMS. Resources include human resources and specialized skills,

organizational infrastructure, technology and financial resources.

4.4.1.2 Environmental Management Representative

a) Ensuring that an environmental management system is established, implemented and

maintained in accordance with the requirements of the ISO 14001 International Standard.

b) Reporting to top management on the performance of the environmental management

system for review, including recommendations for improvements.

4.4.1.3 The responsibility and authority of each position are defined in the form of job descriptions. This

information is communicated to all levels of employees for effective implementation of the EMS.

The function distribution is showed as Table 1. The overall company organization structure is

shown as appendix A.

4.4.2 Competence, Training and Awareness

4.4.2.1 AML shall ensure that employees performing the tasks that may cause significant

environmental impacts are competent on the basis of appropriate education, training and

experience.

AML has established and maintained Training Procedure to identify training needs for

employee, provide training for those personnel working for it or on its behalf aware of:

a) the importance of conformance with the environmental policy and procedures and with the

requirements of the EMS.

b) the significant environmental impacts, actual or potential, associated with their work

activities and the environmental benefits of improved personal performance.

c) their roles and responsibilities in achieving conformance with the environmental policy and

procedures and with the requirements of the EMS, including emergency preparedness and

response requirements.

d) the potential consequences of departure from specified procedures.

4.4.2.2 Reference:

4.4.3 Communication

4.4.3.1 AML has established and maintained Environmental Information Communication

Procedure to handle the environmental information from internal and external parties and

provide a communication means for the employees and the management.

The process includes:

a) internal communication among the various levels and functions of the organization.

b) receiving, documenting and responding to relevant communication from external interested

parties.

4.4.3.2 AML also considers the process for external communication on its significant environmental

aspects.

4.4.3.3 Reference: Environmental Information Communication Procedure (OP-EHS-006)

4.4.4 Documentation

4.4.4.1 AML has established and maintained procedures which are ranged in four levels in the forms of

policy/ manual, procedures, work instructions and records. The system documentation shall

include but not limit to:

a) environmental policy, objectives, targets and management programs;

b) description the scope of the management system;

c) description of the main elements of EMS and their interaction, and reference to related

documents;

d) documents and records required by ISO14001;and

e) documents, including records, determined by AML to be necessary to ensure the effective

planning, operation and control of processes that relate to its significant environmental

aspects.

EMS Procedures are listed in Appendix B

4.4.5 Control of Documents

4.4.

5.1 AML has established and maintained Document and Data Control Procedure for controlling

documents required by the EMS and ISO14001:2004 standard:

a) approve documents for adequacy prior to issue

b) review and update as necessary and re-approve documents;

c) ensure that changes and the current revision status of documents are identified;

d) endure that relevant versions of applicable documents are available at point of use

e) ensure that documents remain legible and readily identifiable;

f) ensure that documents of external origin determined by AML to be necessary for the

planning and operation of the EMS are identified and their distribution controlled; and

g) prevent the unintended use of obsolete documents and apply suitable identification to them

if they are retained for any purpose.

4.4.

5.2 Reference:

4.4.6 Operational Control

4.4.6.1 AML has established and maintained Environmental Operation Control Procedure to control

the operations or activities associated with the identified significant environmental aspects in

line with the environmental policy, objectives and targets.

4.4.6.2 Every department shall identify the significant environmental aspects and the operations or

activities associated with the significant environmental aspects, the key equipment or working

station. Operational procedures or work instructions should be established by relevant

departments, in which the operating critical should be stipulated.

4.4.6.3 AML shall establish and maintain procedures to control the identified or potential significant

environmental aspects of goods or services used by AML and inform the requirements to the

suppliers or contractors.

4.4.6.4 Reference:

4.4.7 Emergency Preparedness and Response

4.4.7.1 AML has established and maintained procedures to identify potential for and responses to

accidents and emergency situations, and for preventing or mitigating the environmental impacts

that may be associated with them. These procedures shall:

a) be designed to prepare and respond to the identified accidents and emergency situations to

prevent and mitigate the associated environmental impacts, human injury and illness.

b) be reviewed periodically, and revised where necessary, in particular, after the occurrence of

accidents and emergency situations and be tested periodically where practicable.

c) be tested periodically where practicable.

4.4.7.2 Reference:

4.5 Checking

4.5.1 Monitoring and Measurement

4.5.1.1 AML has established and maintained documented procedures to monitor and measure, on a

regular basis, the key characteristics of the operations and activities that can have significant

environmental impacts. The procedure shall provide for:

a) documenting of information to monitor performance, applicable operational controls and

conformity with the organization?s environmental objectives and targets.

b) actively monitoring and periodically assessing compliance with operational criteria and

applicable legislation and regulations.

c) reactively monitoring accident, incidents and other historical evidence of deficient

environmental performance.

d) recording of data and results of monitoring and measurements sufficient to facilitate

subsequent corrective and preventive action analysis.

4.5.1.2 AML has ensured that calibrated or verified monitoring and measurement equipments are used

and maintained and has retained associated records.

4.5.2.3 Reference:

4.5.2 Evaluation of Compliance

4.5.2.1 Consistent with its commitment to compliance, AML has established, implemented and

maintained Legal and Other Requirements Procedure for periodically evaluating compliance

with applicable legal requirements and other requirements.

4.5.2.2 AML shall keep records of the results of the periodic evaluations.

4.5.3 Nonconformity, Corrective Action and Preventive Action

4.5.3.1 AML has established and maintained procedures for dealing with actual and potential

nonconformity (ies) and for taking corrective action and preventive action. The procedures shall

define requirements for:

a) defining responsibility and authority for handling and investigating of accidents, incidents,

and non-conformances.

b) identifying the causes of accidents, incidents and nonconformances and taking appropriate

actions to mitigate their environmental impacts occupational health and safety risks.

c) evaluating the need for actions to prevent accidents, incidents and nonconformity(ies) and

implementing appropriate actions designed to avoid reoccurrences.

d) recording the results of corrective action(s) and preventive action(s) taken;

e) reviewing the effectiveness of corrective action(s) and preventive action(s) taken.

4.5.3.2 Action taken shall be appropriate to the magnitude of the problems and encountered

environmental impacts.

4.5.3.3 AML shall ensure that any necessary changes are made to EMS documentation.

4.5.3.4 Reference:

4.5.4 Control of Records

4.5.4.1 AML has established and maintained a procedure for the identification, storage, protection,

retrieval, retention and disposal of records.

4.5.4.2 AML shall ensure that all records are properly collected and filed and maintained. The records

shall be kept and maintained in such a way that they are readily retrievable and protected

against damage, deterioration or loss.

4.5.4.3 Retention times of EMS records are established and recorded respectively in relevant

documents.

4.5.4.4 Reference:

4.5.5 Internal Audit

4.5.5.1 AML has established, implemented, and maintained a procedure for carrying out periodic EMS

audit, in order to:

a) determine whether the EMS conform to planned arrangements for environmental

management including the requirements of this International Standards, and has been

properly implemented and is maintained.

b) provide information on the results of audits to management.

4.5.5.2 The Management Representative is responsible for organizing internal audits.

4.5.5.3 Planning of internal audit

a) The audit programme should be planned, taking into account of the status and importance

of the process and areas to be audited and the environmental importance of the activities

concerned, as well as the results of previous audits. The EMS shall be audited at least once

a year.

b) The audit plan shall be imparted to respective department in advance.

4.5.5.4 Implementation of internal audit

a) The internal auditors shall prepare EMS Audit Checklist before conducting internal audit.

b) The auditors shall conduct on-site audit as the schedule and record the findings.

c) MR shall call a meeting to review the audit findings, especially the non-conformance and

communicate with every departmental head on the necessary of taking corrective/preventive

action.

d) Provide information on the results of audits to management.

4.5.5.6 Corrective / preventive action

The audit team shall issue Non-conformance Report to related departments and follow up the results to ensure the effectiveness of the corrective action.

4.5.5.6 Reference:

4.6 Management Review

4.6.1 The top management shall review and evaluate EMS, at planned intervals, to ensure its continuing

suitability, adequacy and effectiveness. Review shall include assessing opportunities for improvement

and the need for changes to the EMS, including environmental policy and objectives and targets.

4.6.2 Input to management reviews shall include but not limit to

a) results of internal audits and evaluations of compliance with legal requirements and with other

requirements to which the organization subscribles.

b) communication(s) from external interested parties, including complaints.

c) the environmental performance of AML

d) the extent to which objectives and targets have been met.

e) follow up actions from previous management reviews

f) changing circumstances, including developments in legal and other requirements related to its

environmental aspects, and

g) recommendation for improvement.

4.6.3 The outputs from management reviews shall include any decisions and actions related to possible

changes to environmental policy, objectives, targets and other elements of the environmental

management system, consistent with the commitment to continual improvement.

4.6.4 The report or minutes shall be written out after the management review meeting, and distributed to

relevant departments.

4.6.5 Any modification of environmental policy, objectives and targets from the management review, should

be approved by GM and distributed according to EMS requirements.

4.6.6 The improvements proposed by the management review meeting shall be scheduled and completed by

relevant department. MR shall supervise the progress and effectiveness in accomplishing the

improvement.

修改说明Modification Description: 第一章总则 Chapter 1 General Provision 第一条为规范员工管理,切实保障公司及员工利益,根据有关法律法规,结合公司实际情况,特制定本制度。 The rule is made based on the company situation in compliance with relevant laws in purpose of standardizing administration of management and safeguarding the interests of both company and staffs. 第二条此制度适用于非工厂编制员工。 The rule applies to non factory staff. 第二章细则 Chapter 2 Implementing Provision 第一节考勤打卡规范/Norm of attendance 第三条所有员工上下班必须按规定打卡,包括中途请假、停产、出差、培训等(应于中途下班时刷卡)。 Staff must punch card when on and off duty. In the halfway during working time, if staff ask leave (include leaving, going out for business, training, production shutdown), they must punch when leave the company. 第四条公司员工出勤均应本人亲自打卡,自觉遵守,相互监督。 Staff must punch the card on his/her own. 第五条委托他人代打卡的或打卡后实际未到岗的,视其情节酌情惩处;代打卡者并同惩处。 Consigning others to punch card or not coming for work after punching card shall be fined upon the circumstances; those help others punch card shall be fined as well. 第六条除外部驻厂员工外,工作时间内出公司大门的,需填写《出门单》交部门主管及人力资源部审批。 Except for QC of outsourcing fac, those going out during the working hours shall submit [Gate Pass] to the dept manager and HR for approval. 第七条正常出勤无刷卡记录,补办考勤证明的审批规定: The approval of attendance certification: 员工正常出勤的,如发生漏刷卡、其他无刷卡记录的合理原因导致考勤记录不全,应填写《考勤证明表》证明出勤情况。 Where there is no attendance record due to reasonable reason while the staff is on duty, he/she shall submit [Attendance Certification] for approval. 1) 《考勤证明表》须在员工未正常刷卡发生后三个工作日内,经部门主管审批,提报人力资源部。
