双方保密协议(2)

考虑到国际惯例和国际合作,本保密协议条款以英文版本为准,中文版本仅供国内合作伙伴参考。

本保密协议于2004年___月___日在__________签署:

1. 目的:双方本着双赢的目的有意向建立业务合作关系,各方都将向对方透露一些希望对方保密的机密信息,为此特签订本保密协议。

2. 机密信息定义:机密信息指双方向对方直接或间接透露的任何被定义为“保密”、“所有权”或类似名称的信息,可以是书面的、口头的或实物(包括但不局限于文件、照片、样本、设备等)。机密信息包括(但不局限于)技术数据、商业秘密和技巧诀窍,包括(但不局限于)研究、产品计划、产品、服务、供应商、客户和客户名单、价格和成本、市场、软件、开发、发明、实验记录、过程、配方、工艺、设计、图纸、工程、硬件配置信息、市场推广、许可、财务、预算以及其他商业信息。机密信息还包括相关第三方透露的信息。然而,机密信息不包括以下方面的信息:(1) 在签订本协议之前众所周知的或通过公开途径可得到的信息;

(2) 签订本协议之后变成众所周知的或可通过公开途径自然得到的信息;(3) 在签订本协议之前有文件和记录能证明对方已拥有此机密信息的;(4) 在没有违反与第三方的保密协议的前提下从第三方获得的有关信息;(5) 有文件和记录证明对方没有使用所透露的机密信息而独立开发的信息;(6) 对方根据司法需要提供的机密信息,对方在提供机密信息之前必须书面通知机密信息拥有者并向相关司法部门获得不被公开使用的保护。

3. 不使用和不泄露协定:双方同意仅使用机密信息用于评估和讨论双方潜在的合作关系。双方同意不泄露机密信息给第三方或无关雇员,除非这些雇员需要此机密信息用于评估和讨论双方潜在的合作关系。双方都同意不对对方的机密信息搞逆转工程,不反汇编或反编译原型、软件或其他实物。

4. 机密信息保护:双方同意尽最大的努力保护对方提供的机密信息,避免机密信息的泄露和未授权使用。各方应象保护自己的高度机密信息一样来保护对方的机密信息,并确保需要接触对方机密信息的雇员已与公司签订员工保密协议。任何一方都不得拷贝对方的机密信息除非对方书面同意。各方在授权引用对方的机密信息时应保留原稿的版权提示信息。如果任何保密信息被泄露,信息的接收者将有责任遵守此协议的相关规定。

5. 免责条款:任何一方都没有责任保证双方会达成合作决议,各方有权根据自己的判断来决定是否终止讨论可能的合作机会。

6. 无保证条款:任何一方提供的所有机密信息一概不能保证其准确性、完整性和可操作性。所有信息仅供对方探讨合作参考。

7. 有关材料的归还:所有含机密信息的文档和实物的所有权仍然属于原拥有方拥有,一旦本保密协议终止或原拥有方书面要求归还,则对方应无条件立即归还给原拥有方,或根据原拥有方的要求销毁,但对方要提供一个由负责人签名的确认书明确未归还的机密信息已经被销毁。

8. 不许可条款:本保密协议不授权拥有对方的任何知识产权,也不授权拥有对方任何保密信息除非另有条款写明。

9. 保密期限规定:机密信息的接收方有责任一直保密到此保密信息变成了公开信息或通过公开途径可得到的信息。

10. 赔偿条款:各方都认识到任何违反此保密协议的行为将对对方造成不可挽回的伤害,对方有权寻求合法的赔偿。

11. 其他条款:本协议双方签字盖章生效,对双方以及其继承者和受让方都有约束力。本协议遵守深圳特区法律和中华人民共和国法律。双方都应依据有关法律尊重对方的知识产权和商业机密,任何违法行为将不会因为此协议而免除责任,除非双方另有书面协议。本协议允许先只是在副本上签字,并发传真给对方,此传真副本立刻有同等法律效力,双方可根据需要以后交换原始签字协议。

1. Purpose. The parties wish to explore a business opportunity of mutual interest and in connection with this opportunity, each party may disclose to the other certain confidential technical and business information which the disclosing party desires the receiving party to treat as confidential.

2. "Confidential Information" means any information disclosed by either party to the other party, either directly or indirectly, in writing, orally or by inspection of tangible objects (including without limitation documents, prototypes, samples, plant and equipment), which is designated as "Confidential," "Proprietary" or some similar designation at the time of disclosure. Confidential Information shall include without limitation technical data, trade secrets and know-how, including, but not limited to, research, product plans, products, services, suppliers, customer lists and customers, prices and costs, markets, software, developments, inventions, laboratory notebooks, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, licenses, finances, budgets and other business information. Confidential Information may also include information disclosed to a disclosing party by third parties. Confidential Information shall not, however, include any information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure by the disclosing party; (ii) becomes publicly known and made generally available after disclosure by the disclosing party to the receiving party through no action or inaction of the receiving party; (iii) is already in the possession of the receiving party at the time of disclosure by the disclosing party as shown by the receiving party’s files and records immediately prior to the time of disclosure; (iv) is obtained by the receiving party from a third party without a breach of such third party’s obligations of confidentiality; (v) is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information, as shown by documents and other competent evidence in the receiving party’s possession; or (vi) is required by law to be disclosed by

the receiving party, provided that the receiving party gives the disclosing party prompt written notice of such requirement prior to such disclosure and assistance in obtaining an order protecting the information from public disclosure.

3. Non-use and Non-disclosure. Each party agrees not to use any Confidential Information of the other party for any purpose except to evaluate and engage in discussions concerning a potential business relationship between the parties. Each party agrees not to disclose any Confidential Information of the other party to third parties or to such party’s employees, except to those employees of the receiving party who are required to have the information in order to evaluate or engage in discussions concerning the contemplated business relationship. Neither party shall reverse engineer, disassemble or decompile any prototypes, software or other tangible objects which embody the other party’s Confidential Information and which are provided to the party hereunder.

4. Maintenance of Confidentiality. Each party agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information of the other party. Without limiting the foregoing, each party shall take at least those measures that it takes to protect its own most highly confidential information and shall ensure that its employees who have access to Confidential Information of the other party have signed a non-use and non-disclosure agreement in content substantially similar to the provisions hereof, prior to any disclosure of Confidential Information to such employees. Neither party shall make any copies of the Confidential Information of the other party unless the same are previously approved in writing by the other party. Each party shall reproduce the other party’s proprietary rights notices on any such approved copies, in the same manner in which such notices were set forth in or on the original. If any material non-public information is disclosed, the recipient of such information agrees to comply with this agreement.

5. No Obligation. Nothing herein shall obligate either party to proceed with any transaction between them, and each party reserves the right, in its sole discretion, to terminate the discussions contemplated by this Agreement concerning the business opportunity.

6. No Warranty. ALL CONFIDENTIAL INFORMATION IS PROVIDED "AS IS". EACH PARTY MAKES NO WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, REGARDING ITS ACCURACY, COMPLETENESS OR PERFORMANCE.

7. Return of Materials. All documents and other tangible objects containing or representing Confidential Information which have been disclosed by either party to the other party, and all copies thereof which are in the possession of the other party, shall be and remain the property of the disclosing party and shall be promptly returned to the disclosing party or destroyed upon the termination of this Agreement or the disclosing party’s written request. At the request of the disclosing party, the recipient will furnish a certificate, signed by an officer of the recipient, certifying that any Confidential Information not returned to the disclosing party has been destroyed.

8. No License. Nothing in this Agreement is intended to grant any rights to either party under any intellectual property rights of the other party, nor shall this Agreement grant any party any rights in or to the Confidential Information of the other party except as expressly set forth herein.

9. Term. The obligations of each receiving party hereunder shall survive until such time as all Confidential Information of the other party disclosed hereunder becomes publicly known and made generally available through no action or inaction of the receiving party.

10. Remedies. Each party agrees that any violation or threatened violation of this Agreement may cause irreparable injury to the other party, entitling the other party to seek injunctive relief in addition to all legal remedies.

11. Miscellaneous. This Agreement shall bind and inure to the benefit of the parties hereto and their successors and assigns. This Agreement shall be governed by the laws of Shenzhen Special Economic Zone, without reference to conflict of laws principles. This document contains the entire agreement between the parties with respect to the subject matter hereof, and neither party shall have any obligation, express or implied by law, with respect to trade secret or proprietary information of the other party except as set forth herein. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision. This Agreement may not be amended, nor any obligation waived, except by a writing signed by both parties hereto. This Agreement may be signed in counterparts, and delivered by facsimile, and such facsimile counterparts shall be valid and binding on the parties hereto with the same effect as if original signatures had been exchanged.
