ARTICLE 1.1 INITIAL INFORMATION 初始信息

ARTICLE 1.2 RESPONSIBILITIES OF THE PARTIES 双方责任

§ 1.2.1 The Owner and the Architect shall cooperate with one another to fulfill their respective obligations under this Agreement. Both parties shall endeavor to maintain good working relationships among all members of the Project.

§ 1.2.2.1 The Architect may, within thirty (30) days of the date of this Agreement, request that the Owner provide to the Architect, within twenty-one (21) days of the request, information regarding the Owner and the property on which the Project will be built. Neither the Architect’s request for this information nor the Owner’s provision of it shall be construed to create a duty on the part of the Owner to the Architect, to the Architect’s consultants, insurers, creditors, or any other person or entity to supplement, publish, or distribute that information.

§ 1.2.2.2 The Owner shall periodically update the budget for the Project, including that portion allocated for the Cost of the Work.

§ 1.2.2.3 The Owner’s Designated Representative identified in Section 1.1.3 shall be authorized to act on the Owner’s behalf with respect to the Project. The Owner or the Owner’s Designated Representative shall render decisions in a timely manner pertaining to documents submitted by the Architect in order to avoid unreasonable delay in the orderly and sequential progress of the Architect’s services.

§ 1.2.2.4 Prior to completion of the Contract Documents Phase of services, the Architect shall provide to the Owner for the Owner’s approval a list of all tests, inspections, or reports that are required in the Contract Documents, including, but not limited to, those provided by the Architect as a Basic Service. This list should designate the party responsible for the engagement of and payment to providers of those services. When the Owner is designated in this Agreement or within the Contract Documents to engage the provider and when the Owner so requests, the Architect shall, as part of its Basic Services, solicit competitive price proposals from reputable and licensed providers for such services, to assist the Owner in engaging such a provider. However, to the extent that testing or surveying services are necessary as a result of errors, omissions, or inconsistencies in the Contract Documents or in the performance of services by the Architect, the Architect shall engage such providers and pay the costs thereof. When such remedial services are performed by providers already engaged by the Owner, the Owner may deduct any fees that it pays to the provider for such services from the first Basic Fees subsequently due to the Architect.

§ 1.2.2.5 The Owner may furnish legal, insurance consulting, and accounting services, including auditing services, that it determines to be reasonably necessary at any time for the Project. . If these services are required as a result of the Architect’s errors or omissions or its failure to timely perform its services, the Owner may deduct the cost of such services from the fees for Basic Services subsequently due to the Architect.

§ 1.2.3 ARCHITECT 建筑师

§ 1.2.3.1 The services performed by the Architect, Architect’s employees, and Architect’s consultants shall be as enumerated in Article 1.4. The Architect warrants that the Basic Fee stated in Section 1.5.1 of this Agreement is adequate and sufficient consideration for the Architect’s provision of all professional services (including those of the Architect’s consulting engineers and other consultants) necessary for the Architect’s complete performance in providing the complete design of the Project, whether or not those services are individually expressed in this Agreement, the only exceptions to this being (1) the cost of those services that are expressly designated as being the “Owner’s responsibility” or are otherwise expressly designated in writing as “Owner-provided,” under Description of Service and (2) the cost of those engineering or consulting services that become necessary as a result of a change in project scope affecting the Architect and that are the subject of a written agreement between the Owner and the Architect, as limited by the terms of Section 1.3.3.1.

Description of Service

§ 1.2.3.2 The Architect shall provide architectural, engineering, and specialty design services necessary for the Project and shall be fully responsible for the work of its consultants. The Architect’s services shall be performed as expeditiously as is consistent with professional skill and care and the orderly progress of the Project. The Architect shall submit for the Owner’s approval a schedule for the performance of the Architect’s services, which initially shall be consistent with the time periods established in Section 1.1.2.6 and which shall be adjusted, if necessary, as the Project proceeds, but only with the written consent of the Owner. This schedule shall include specific dates for achieving important project milestones as determined by the Architect, and at a minimum shall include dates for completion of each of the Project phases for which services are being provided by the Architect. The schedule shall also include allowances for periods of time required for the Owner’s review, for the performance of the Owner’s consultants for approval of submissions by authorities having jurisdiction over the Project and for public meetings and presentations anticipated by the Architect. Time limits established by this

schedule approved by the Owner shall not be exceeded by the Architect or Owner except with the consent of the Owner and for reasonable cause. Except with the Owner’s consent, the Architect shall not commence performing Basic Services until the schedule is approved.

§ 1.2.3.3 The Architect’s Designated Representative identified in Section 1.1.3 shall be authorized to act on the Architect’s behalf with respect to the Project

§ 1.2.3.4 The Architect shall maintain the confidentiality of information specifically designated as confidential by the Owner, unless withholding such information would violate the law, create the risk of significant harm to the public or prevent the Architect from establishing a claim or defense in an adjudicatory proceeding: The Architect shall require of the Architect’s consultants similar agreements to maintain the confidentiality of information specifically designated as confidential by the Owner.

§ 1.2.3.5 The Architect shall not engage in any activity, or accept any employment, interest, or contribution that could reasonably appear to compromise the Architect’s professional judgment with respect to this Project, unless the Owner consents in writing after the Architect makes full disclosure to the Owner.

§ 1.2.3.6 The Architect shall review all laws, codes, and regulations applicable to the Architect’s services and . shall design the Project so that it complies with all applicable requirements imposed by governmental authorities having jurisdiction over the Project. The Architect and its consultants shall assure that the materials, fixtures, furnishings, and equipment required by the Contract Documents do not contain hazardous or toxic substances.

建筑师应审查适用于建筑师服务的所有法律规范,其设计应符合对该项目有管辖权的相关政府机构的适用要求。建筑师与其咨询顾问应保证合同文件内要求的所有材料、固件、装饰及设备不包含危险或有害物质。§ 1.2.3.7 The Architect shall be entitled to rely on the accuracy and completeness of services and information furnished by the Owner. The Architect shall provide prompt written notice to the Owner if the Architect becomes aware of any errors, omissions, or inconsistencies in such services or information.

建筑师有权信任业主提供的信息服务的准确性和完整性。如发现此信息服务有任何错误、疏忽或不符之处,建筑师应向业主及时进行书面通知。

§ 1.2.3.8 The Architect agrees to correct any errors or omissions in its services, at no additional cost to the Owner, as soon as it becomes aware of such errors or omissions. The following conditions shall govern any loss or extra building costs due to such errors or omissions in the Architect’s services:

In the event of an error or omission in the Construction Documents, the Architect agrees to immediately take corrective action to correct any such errors or omissions in its services. If, as the result of any errors or omissions, for which the Architect has legal responsibility, the Owner incurs an accumulation of excess costs over the Construction Cost, the Architect shall bear the burden of such accumulation of excess costs, subject to the

following limitations:

(a) said accumulation of excess costs shall not include any improvement cost or betterment cost and (b) shall not exceed the difference between (1) the actual construction cost resulting from such negligent acts, errors, omissions of the Architect, and all damages related to the event of error or omission, and (2) an estimate of what such cost would have been at the time of the execution of the Construction Contract had the error or omission not occurred. Notwithstanding anything contained herein to the contrary, the Architect represents to the Owner that the Architect shall provide the plans and specifications required for a workable, functional, and operating facility. The Architect represents to the Owner that all drawings and specifications it provides will be accurate and complete.

§ 1.2.3.9 At the completion of each Phase of this Agreement, the Owner and the Contractor shall each prepare a Statement of Construction Cost. Upon completion and submittal of such Statements to the Owner, the Architect, the Contractor, and the Owner shall meet to review and resolve any differences between the respective Statements of Construction Cost. When the parties have resolved all differences, the Contractors shall prepare a single Reconciled Statement of Construction Cost and shall submit it to the Owner and the Architect. The Owner and the Architect expressly acknowledge that if the Architect and the Contractor are unable to agree upon a Reconciled Statement of Construction Cost whenever required by this Agreement, the Owner shall determine the Reconciled Statement of Construction Cost, and the Architect and the Contractor shall be bound by the Owner’s determination as it affects their obligations under this Agreement and the Construction Contract.

§ 1.2.3.10 Simultaneously with the Architect’s submittal of completed Design Documents for the Project and at the completion of the Schematic Design and Design Development Phases, the Architect and the Contractor will each certify to the best of its knowledge a Statement of Construction Cost with supporting documentation based on the Schematic Design Documents or Design Development Documents, as the case may be. Thereafter, the Owner, the Architect, and the Contractor shall meet to review and discuss any differences between their respective Statements of Construction Cost. When the parties have resolved any differences, the Contractor shall prepare a Reconciled Statement of Construction Cost. If the Reconciled Statement of Construction Cost is greater than the Owner’s projected cost limit, the Architect shall, as part of its Basic Services and at no additional cost and without delaying the Project, incorporate changes into the design of the subsequent phase to bring the Project to an amount equal to or less than the Owner’s projected cost limit.

ARTICLE 1.3 TERMS AND CONDITIONS 合同条款

§1.3.1 COST OF THE WORK 工作费用

§ 1.3.1.1 The Cost of the Work shall be the total cost or, to the extent the Project is not completed, the estimated cost to the Owner of all elements of the Project designed or specified by the Architect.

工作费用应为建筑师指定或设计的工作的总费用或在项目未完成的情况下的预计费用。

§ 1.3.1.2 The Cost of the Work shall include the cost at current market rates of labor and materials furnished by the Owner and equipment designed, specified, selected, or specially provided for by the Architect including the costs of management or supervision of construction or installation provided by a separate construction manager or contractor, plus a reasonable allowance for their overhead and profit. In addition, a reasonable allowance for contingencies shall be included for market conditions at the time of bidding and for changes in the Work.

§ 1.3.1.3 The Cost of the Work does not include the compensation of the Architect and the Architect’s consultants, the costs of the land, rights of-way, and financing or other costs that are the responsibility of the Owner.

工作费用不包括对建筑师及其咨询顾问的报酬、土地成本、通行权、财务或其他业主责任范围内的费用。§ 1.3.2 OWNERSHIP OF THE DOCUMENTS 文件的所有权

§ 1.3.2.1 The Architect hereby conveys, assigns, and transfers to the Owner all right, title, and interest, including all rights under federal and state copyright and intellectual property laws, in and to all project-related documents, models, computer drawings and other electronic expression, photographs, and other expression produced by the Architect (“Instruments of Service”).Among those Instruments of Service are the design drawings and all drawings, specifications, and other documents that are included in the Contract Documents and the Architectural Works of the Project as defined in the federal Architectural Works Copyright Protection Act. The Owner shall retain legal title to the Instruments of Service, whether or not the Project for which they were made is completed, provided that the Owner has paid the Architect all compensation due under this Agreement for the services completed by the Architect.The Architect represents and warrants to the Owner that the Instruments of Service do not infringe any copyrights, trade secrets, or similar property rights of any third party. The Architect agrees to execute any additional documents that the Owner deems necessary to vest all such intellectual property rights of a copyright holder in the Owner. The Owner’s obligation to pay the Architect is expressly conditioned upon the Architect obtaining a valid written assignment of copyrights from the Architect’s Consultants in terms identical to those that the Architect granted to the Owner in this Section, which copyrights the Architect hereby assigns to the Owner.The Owner, in turn, hereby grants to the Architect a nonexclusive license to reproduce the documents for purposes relating directly to the Architect’s performance of this Project and for the Architect’s archival records. No other project-related documents may be reproduced for any other purpose without the express written permission of the Owner. No other copyrights are included in this grant of nonexclusive license to the Architect. This nonexclusive license shall terminate immediately upon any breach of this Agreement by the Architect.

§ 1.3.2.2 If the Owner subsequently reproduces project-related documents or creates (or causes others to create) a derivative work based upon project-related documents created by the Architect, the Owner shall remove or obliterate the original professional seals, logos, and other indications on the documents of the identity of the Architect and its Consultants. However, when required by law, such identification with appropriate qualifying language or other statutorily prescribed information identifying the original architect or the scopes of the reuse of the documents may remain or be applied.

§ 1.3.3 CHANGE IN SERVICES 服务变更

§ 1.3.3.1 Change in Services of the Architect, including services required of the Architect’s consultants, may be accomplished after execution of this Agreement without invalidating the Agreement if mutually agreed in writing, if required by circumstances beyond the Architects control, or if the Architect’s services are affected as described in Section 1.3.3.2. In the absence of mutual agreement in writing the Architect shall notify the Owner prior to providing such services. The Architect shall notify the Owner in writing immediately upon the Architect’s determination that Changes in Services are needed and justified. The Architect shall indicate in that notice (a) the scope of the change, (b) the reason for the change, (c) the party, if any, whose acts or omissions the Architect believes resulted in the proposed change, (d) the estimated financial and schedule impacts of the change, and (e) a definitive statement of fees due to the Architect for professional services and expenses related to such change. In addition to any other remedies available to the Owner under this Agreement or under law, to the extent that the change was the result, in whole or in part, of any error, omission, inconsistency, or lack of clarity in the Contract Documents, or was otherwise avoidable by full performance by the Architect, the professional services required to implement the change shall be performed by the Architect and its Consultants at no cost to the Owner. If the Owner deems that all or a part of such Change in Services is not required, the Owner shall give prompt written notice to the Architect, and the Architect shall have no obligation to provide those services. Except for a change due to the fault of the Architect, Change in Services of the Architect shall entitle the Architect to an adjustment in compensation pursuant to Section 1.5.2., and to any Reimbursable Expenses described in Section 1.3.7.2 and Section 1.5.5.

建筑师的服务变更,包括要求建筑师的咨询顾问的服务,如双方书面同意,或在建筑师控制范围之外的情况要求,或建筑师的服务受到1.3.3.2条的影响,可以在本协议实施后在不损害协议有效性的情况下实现。如双方未有书面协议,建筑师应在提供此类服务之前通知业主。当建筑师确定服务的变更是必要并合理的,建筑师应及时书面通知业主。.建筑师应在通知中标明:(a)变更的范围(b)变更的原因(c)建筑师认为由于行为、疏忽而导致变更的一方(d) 估计受变更影响的费用和时间(e)建筑师提供专业服务以及由于此种变更引起开支的明确的费用清单。除本协议或法律之下业主可以获得的

§1.3.3.2 If any of the following circumstances affect the Architect’s services for the Project, the Architect shall be entitled to an appropriate adjustment in the Architect’s schedule and compensation:

.1 change in the instructions or approvals given by the Owner that necessitates significant revisions in Instruments of Service;

.2 enactment or revisions of codes, laws or regulations or official interpretations which necessitates

changes to previously prepared Instruments of Service;.3 significant change in the Project including but not limited to, size, quality, complexity, the Owner’s

schedule or budget, or procurement method;.4 failure of performance on the part of the Owner or the Owner’s consultants or contractors;

.5 preparation for and attendance at a dispute resolution proceeding or a legal proceeding except where the Architect is party thereto;

No increase in compensation or extension of time to perform any Change in Services shall be granted unless the Architect fully and timely notifies the Owner in accordance with Section 1.3.3.1. Advance written notice is a condition precedent to the Owner’s obligation to pay for such services. Failure to timely and fully notify the Owner will be deemed a waiver of the Architect’s right to adjustment in compensation and schedule.

1 业主指令或批准的变更导致服务工具的重大变更

如建筑师未参照1.3.3.1条的要求及时充分的通知业主,建筑师服务增加报酬的或延长时间履行变更的要求不被批准。提前进行书面通知时业主为此类服务支付报酬的先决条件。未能及时充分的通知业主将被视为建筑师放弃调整报酬和时间安排的权利。

§ 1.3.4 NONBINDING MEDIATION 无法律约束力的调解

§ 1.3.4.1 The Owner and the Architect agree to engage in nonbinding mediation in an effort to resolve disputes with each other and any other interested parties. Engaging in mediation shall not be a condition precedent to either party’s right to institute legal action on its claims. . If such matter in dispute relates to or is the subject of a lien arising out of the Architect’s services, the Architect may proceed in accordance with applicable law to comply with the lien notice or filing deadlines prior to resolution of the matter by mediation.

§ 1.3.4.2 Any mediation shall be held in the place where the Project is located, unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof.

§ 1.3.5 MISCELLANEOUS PROVISIONS 其他

§ 1.3.5.1 Causes of action between the parties to this Agreement pertaining to acts or failures to act shall be deemed to have accrued and the applicable statutes of limitations shall commence to run not later than either the date of Substantial Completion for acts or failures to act occurring prior to Substantial Completion or the date of issuance the final Certificate for Payment for acts or failures to act occurring after Substantial Completion.

to the Project pursuant to the terms of the Contract Documents.

The Owner shall provide professional credit for the Architect in the Owner’s promotional materials for the Project.

§ 1.3.6.2 the Project is suspended by the Owner for more than 120 consecutive days, the Architect shall be compensated for services performed prior to notice of such suspension. The Architect’s fees for the remaining services and the time schedules shall be equitably

No deductions shall be made from the Architect’s compensation on account of penalty, liquidated damages, or other sums withheld from payments to contractors, or on account of the cost of changes in the Work other than those for which the Architect is responsible

.1 transportation in connection with the Project authorized out of town travel and subsistence and electronic communications;

.2 fees paid for securing approval of authorities having jurisdiction over the Project;

.3 reproductions, postage, handling, and delivery of Instruments of Service;

.4 expense of overtime work requiring higher than regular rates if authorized in advance by the Owner;

.5 renderings, models, and mock-ups requested by the Owner, unless the Owner requests in writing that the production of such renderings, models, and mock-ups be performed by a third party not contemplated by the parties at the time of signing this Agreement; and

.6 reimbursable expenses as designated in Section 1.5.5;

§ 1.4.2.1 The Architect shall indemnify and hold harmless the Owner for all damages, losses, and claims that arise as a result, in whole or in part, of (i) the negligence, errors, or omissions of the Architect and its employees, agents, or Consultants, (ii) the breach of this Agreement, (iii) the intentional acts of the Architect, its employees, agents, or Consultants, and (iv) any breach of the covenants, representations, and warranties contained in Section 1.3.2.1 related to the intellectual property rights associated with the Instruments of Service and any alleged infringements of third parties rights therein.

1.5 长期客户:系指甲方与乙方签订一年或一年以上《委托翻译合同》中的甲方。 第2条期限 2.1 本合同有效期为,即自____年__月__日起至____年__月__日止。 第3条业务内容及价格 3.1 乙方接受甲方的委托,根据甲方提供的文字稿件进行翻译工作。 3.2 乙方交稿时间根据每次所签订的《客户委托单》上的约定按时交稿。如乙方因故不能按时交稿的,应提前书面通知甲方,由双方另行约定交稿日期;如因甲方原因而必须中途暂停翻译,则交稿期限按照暂停时间依次后延;在翻译工程中,如因甲方原因必须中途结束翻译,则甲方需支付乙方已经完成的稿件。同时,乙方有权要求甲方支付本次合作的全部稿费。 3.3 甲方翻译稿件的收费标准应依据每次签订的《客户委托单》中的相关标准进行支付。项目单价按照200元每千中文统计计算金额。具体细节由双方根据实际情况协商而定。 3.4 付款方式:甲方向乙方支付_______元翻译项目预付款,乙方按照甲方所翻译稿件的实际费用(详见客户委托单)结算。对于项目结余的预付款,乙方应在翻译项目结束后7日内返还给甲方。 第4条翻译要求 4.1 乙方按《客户委托单》规定日期完成甲方委托翻译之任务。
